The following terms of service, together with any other documents, and/or additional terms and conditions listed on the Site or otherwise incorporated by reference here, including but not limited to the Legal Notices, and the Listing Terms of Service; (collectively, the "Terms of Use") form a legal agreement between you, (“You,” “Your,” or “User”), and Nationwide Realty Corp.  any related mobile applications, our subsidiaries, and our respective affiliates (collectively, “Nationwide Realty Corp.,” “We,” “Us,” “Site,” “Website,” “App,” or “Our”).

Nationwide Realty Corp. connects licensed real estate agents those who are working as independent contractors with Nationwide Realty corp (“Real Estate Agent(s)”) with people who are interested in buying or selling real estate properties or business . You do not have to be a Buyer or Real Estate Agent to use these Services - you can also use our Services to access and view: your property dashboard through our Community Content and Listings and other data and information made available to users of the Services.

The term "you" or "User" refers to the Buyers, Real Estate Agents, and any person,any person interested in joining Nationwide realty corp as employee / independent contractor,  bot, or entity browsing, installing, downloading, accessing or otherwise using Nationwide Realty Corp. and/or any of Our online and/or mobile services (collectively, the “Service(s)”). ("use" or "using" in these Terms of Use will mean any of the foregoing).

BY USING NATIONWIDE REALTY CORP. IN ANY WAY OR BY CLICKING TO ACCEPT THE TERMS AND CONDITIONS, YOU: (A) REPRESENT AND WARRANT THAT (I) YOU HAVE REACHED THE LEGAL AGE OF MAJORITY IN YOUR JURISDICTION, (II) YOU HAVE THE CAPACITY TO ENTER INTO BINDING OBLIGATIONS, AND (III) ALL INFORMATION SUPPLIED BY YOU TO US THROUGH NATIONWIDE REALTY CORP. IS TRUE, ACCURATE, CURRENT, AND COMPLETE; AND (B) AGREE TO BE BOUND BY AND COMPLY WITH THESE TERMS OF USE, AS UPDATED FROM TIME TO TIME IN ACCORDANCE WITH SECTION 1. IF YOU DO NOT AGREE TO THESE TERMS OF USE YOU MUST NOT ACCESS OR USE NATIONWIDE REALTY CORP.. IF YOU ARE USING NATIONWIDE REALTY CORP. ON BEHALF OF ANOTHER PERSON OR A CORPORATE ENTITY, YOU REPRESENT AND WARRANT THAT YOU HAVE THE AUTHORITY TO BIND SUCH PERSON OR ENTITY TO THESE TERMS OF USE. These Terms of Use do not alter in any way the terms or conditions of any other agreement you may have with us in respect of any offerings, products, services or otherwise.

By accessing Nationwide Realty Corp. or using any Service, You understand and agree that Your personal information will be treated in accordance with the Privacy Policy.

1. Changes to these Terms of Use and Services

Except where prohibited by applicable law, we reserve the right to change any element of these Terms of Use at any time. When we change these Terms of Use, we will: (i) place a notice on the Nationwide Realty Corp.’s Website, send you an email, or notify you by some other means as required by applicable law; (ii) post a new version of the Terms of Use to Nationwide Realty Corp.; and (iii) update the "Last Updated" date at the top or the bottom of these Terms of Use. We may require you to provide consent to the updated Terms of Use in a specified manner before further use of Nationwide Realty Corp. is permitted. If you do not agree to any change(s) after receiving a notice of such change(s), you must stop using Nationwide Realty Corp.. Otherwise, your continued access to or use of Nationwide Realty Corp. after any changes to these Terms of Use indicates your acceptance of such changes.

We reserve the right to change Nationwide Realty Corp. at any time, without notice. We may, at our discretion, suspend your access to or use of Nationwide Realty Corp. or any component thereof: (i) for scheduled maintenance; (ii) if you violate any provision of these Terms of Use; or (iii) to address any emergency security concerns. You may need to update third-party software from time to time in order to use Nationwide Realty Corp..

2. User Account

To access certain features of Nationwide Realty Corp., you may be required to successfully sign up for a user account using the available interfaces of the services, and establish login credentials (the "User ID"). If you establish a User ID, you will keep your User ID secure and will not grant access to or otherwise share your User ID with any other person. You must provide us with true, accurate, current and complete information for your User ID. If we believe or suspect that your information is not true, accurate, current or complete, we may deny or terminate your access to Nationwide Realty Corp..

We reserve the right to disable any User ID issued to you at any time at our sole discretion. If we disable access to a User ID issued to you, you may be prevented from accessing Nationwide Realty Corp. (or any portion thereof).

Nationwide Realty Corp. is entitled to act on instructions received through your account. Nationwide Realty Corp. is not responsible for any actions taken or transactions made to or from your account by any other party using your User ID. You are solely responsible for any and all use of your User ID and all actions and activities that occur under or in connection with the User ID. Without limiting any rights which we may otherwise have, we reserve the right to take any and all action, as we deem necessary or reasonable, to ensure the security of Nationwide Realty Corp. and your account, including without limitation terminating your account or changing your password. You agree to be responsible for any act or omission of any users that access Nationwide Realty Corp. under your User ID that, if undertaken by you, would be deemed a violation of these Terms of Use. If a username and password, or any other access credentials, are provided to you as the end user, it is your responsibility to keep such information confidential.

3. Disclaimer Information

Nationwide Realty Corp. does not guarantee income or success.

The investment analysis, and performance information displayed on listings and pre-construction homes on Nationwide Realty Corp. are only estimates and projections. These are not actual results. These projections are based upon various assumptions of properties, market data, and neighborhoods. No representation is being made that a performance record similar to the projected returns will or is likely to be achieved.

The data presented is subject to significant assumptions. While Nationwide Realty Corp. believes the assumptions used to generate this data are reasonable, these assumptions are subjective in nature and other assumptions may also be reasonable. Different assumptions may result in materially different returns. You acknowledge that you understand the assumptions used and their effect on these projections. You agree that you may lose some or all of your investment. The projections set forth in these materials are provided to you on the understanding that you will understand and accept the inherent limitations of such results, and will not rely on them in making any decision to invest in a property. No representation is being made that a performance record similar to the projected returns will or is likely to be achieved.

4. What We Do and Do Not Do via the Site and the Services

Technology Platform

Nationwide Realty Corp. offers a technology service and platform via the Services through which Real Estate Agents, and Buyers of real estate properties can (i) connect; (ii) search for properties; (iii) analyze properties and assess performance in a single location (collectively, the "Community") the Community may offer free Services or also may charge for Services. Real Estate Agents can sign up with the Services and advertise a list of real estate properties that are for sale by posting "Listings." The real estate properties included in the Listings are collectively referred to as "Homes," "Investments," or "Properties" or “Presales” or “Pre-constructions” or individually, a "Home," an "Investment" or a "Property", or a “Presale”, or a “Pre-construction” on the Site and Services and in these Terms. Buyers can browse the Listings and contact the real estate agent via the Services if they are interested in buying a Property included in a Listing.

Other Services

We may also provide analytics, valuation estimates, asset management and other information services to Users via the Services.

5. Real Estate Agent Terms

No Endorsement

We welcome you if you are a Real Estate Agent, as long as you are posting a Listing that is not illegal or unauthorized and is listed by you or your brokerage. However, we do not endorse any Real Estate Agents and you posting a Listing does not mean you or your Listing is endorsed in any way by us. We do not routinely conduct background checks on Real Estate Agents, but we reserve the right to do so on a discretionary basis, and you agree to cooperate with us and provide us with all information and execute any forms necessary that we request from you in the event that we decide to conduct a background check on you. We are not responsible for any damage or harm resulting from your communications or interactions with Buyers or other Real Estate Agents, either via the Services or otherwise. Real Estate Agents are not employees, agents or otherwise contractors of Nationwide Realty Corp., but are independent people who want to post Listings and connect with Buyers.

You agree that any legal remedy or liability that you seek to obtain for actions or omissions of Buyer or other third parties regarding Listings or any Purchase and Sale Agreement (defined below) you enter into with a Buyer for purchase of a Property will be limited to a claim against the particular Buyer or other third parties, who caused you harm and you agree not to attempt to make a claim for damages or liability against Nationwide Realty Corp. or a Nationwide Realty Corp. Entity, or seek any legal remedy from Nationwide Realty Corp. or a Nationwide Realty Corp. Entity with respect to such actions or omissions. Accordingly, we encourage you to communicate directly with your broker regarding Listings and Properties in which a Buyer has expressed interest and about which a Buyer has communicated with your real estate agent or broker via the Services. That said, you may also contact us and we will take any actions that we deem appropriate and necessary.

Your Obligations as a Real Estate Agent

"Listing(s)" means a description of a Property that the Real Estate Agent lists for sale using the Services. When one creates a Listing, you will need to submit information to us about the Property, including without limitation, images, and general property information. You hereby grant a license to Nationwide Realty Corp. to use such listing information in order to operate the Services - please see the Section below entitled "Rights in Content Granted by You". It is important that such information be complete and accurate and we do not verify any such information or User Content you provide to us via the Services for your Listings. A Listing can also include requirements with which potential Buyers must comply in order to purchase the Property for sale in a Listing. We may provide Additional Property Information for Listings. You agree that you are responsible for all Listings you post and for keeping the Listings information current and up to date. We reserve the right to reject a Listing for any reason in our sole and absolute discretion. We will notify you if we reject your Listing and we may give you an opportunity to amend your Listing into a form that we would publish. "Additional Property Information" means information about the Properties included in Listings, including, without limitation, valuation estimates, forecasts, inspections, conditions, repairs, cost estimates, financial estimates, neighborhood information, photographs, lease verification, property management terms, title, permits and lien information, that we obtain from a variety of sources. This Additional Property Information is licensed to Users under the Section below entitled "Rights in Content Granted by Nationwide Realty Corp." and our provision of the Additional Property Information to Users does not in any way mean that we have endorsed or are endorsing the Real Estate Agent or Real Estate Agent’s Listing or the outcome of any purchase of a Property. You hereby authorize Nationwide Realty Corp. to act on your behalf, if applicable, to gather the Additional Property Information and you agree to grant Nationwide Realty Corp. any necessary authorization to do so. You acknowledge that the Additional Property Information made available via the Services is current as of the date that it was generated and Nationwide Realty Corp. makes no warranties that the Additional Property Information will be accurate or up to date on that date that Users access and view the Additional Property Information.

6. Buyer Terms

The terms in this Section apply to you if you are a Buyer. If you are a Real Estate Agent, please see the Section "Real Estate Agent Terms" above.

No Endorsement and Buyer Diligence Review

We do not endorse any Real Estate Agent or Real Estate Agent’s Listings. We don’t have an obligation to conduct background checks on any Real Estate Agent, but we might do so on a discretionary basis. Nationwide Realty Corp. is not responsible for any damage or harm resulting from your communication or interaction with Real Estate Agents or other Buyers. We may, on a Real Estate Agent’s behalf, provide Additional Property Information to Buyers via the Services about a Real Estate Agent’s Listing. Nationwide Realty Corp. makes no representation that the Additional Property Information provided is accurate or complete. With respect to a Property which the Buyer desires to purchase Buyer represents that Buyer has reviewed and understands all information available on the Site as to such Property. Buyer also understands that any estimated financial information displayed on the Site is based upon third party information which has been obtained by Nationwide Realty Corp. and reasonable assumptions of Nationwide Realty Corp.. Buyer further understands that any such financial information may not be accurate or complete and relies on such information at its own risk.

Disclaimers

BUYER ACKNOWLEDGES THAT WITH RESPECT TO ESTIMATES, FORECASTS AND PROJECTIONS DISPLAYED ON THE SITE, (i) NO ASSURANCE CAN BE GIVEN REGARDING THE ACCURACY OR APPROPRIATENESS OF THE ASSUMPTIONS AND JUDGMENTS MADE, OR THE METHODOLOGIES USED AND SUCH ESTIMATES, FORECASTS AND PROJECTIONS ARE FORWARD- LOOKING STATEMENTS AND INVOLVE RISKS AND UNCERTAINTIES THAT MAY CAUSE ACTUAL RESULTS TO BE MATERIALLY DIFFERENT FROM THE ESTIMATES, FORECASTS AND PROJECTIONS. ACCORDINGLY, BUYER SHOULD RELY ON SUCH ESTIMATES, FORECASTS AND PROJECTIONS AT ITS OWN RISK. Buyer further understands and acknowledges that the value of any Property purchased may decline after you buy it and that future property values are unpredictable and may go down. Buyer also acknowledges and agrees that Nationwide Realty Corp. is not an investment or tax advisor and you must make your own investment and tax decisions either alone or with the assistance of professional investment and tax advisors.

Liability

You agree that any legal remedy or liability that you seek to obtain for actions or omissions of Real Estate Agent or other third parties regarding Listings or any Purchase and Sale Agreement you enter into with a Real Estate Agent for purchase of a Property, will be limited to a claim against the particular Real Estate Agent/Seller or other third parties who directly caused you harm and you agree not to attempt to make a claim for damages or liability against Nationwide Realty Corp. or a Nationwide Realty Corp. Entity, or seek any legal remedy from Nationwide Realty Corp. or a Nationwide Realty Corp. Entity with respect to such actions or omissions. For additional terms regarding liability, please also refer to the paragraphs hereinbelow entitled "Indemnity" and "Limitation of Liability". We also encourage you to communicate directly with the Real Estate Agents regarding Listings they have posted for their Properties. You may also contact us and we will take any actions that we deem appropriate.

Property Managers, Insurance Brokers, Mortgage Brokers, and other professionals

Nationwide Realty Corp. may from time to time recommend or feature certain third-party property managers or management companies or insurance brokers, or mortgage brokers, or real estate agents, or photographers and other service businesses (“Professionals”). You are free to use or engage such professionals in your sole discretion and any decision to do so shall be at your own risk. Nationwide Realty Corp. does not warrant or guarantee the performance or services provided by these Professionals and you shall look solely to the Professional you have chosen to work with for recourse in the event of any failure to perform or damages caused by such Professionals.

7. Content and Content Rights

For purposes of these Terms: (i) "Content" means data, text, graphics, images, music, software, audio, video, works of authorship of any kind, and information or materials that are posted, generated, provided or otherwise made available through the Services, including Additional Property Information; and (ii) "User Content" means any Content that Users (including you) provide to be made available through the Services, including Listings posted by Real Estate Agents and information provided to the Community. Content includes without limitation User Content.

8. Content Ownership

Nationwide Realty Corp. does not claim any ownership rights in any User Content and nothing in these Terms will be deemed to restrict any rights that you may have to use and exploit your User Content. Subject to the foregoing, Nationwide Realty Corp. and its licensors exclusively own all right, title and interest in and to the Services and Content, including all associated intellectual property rights. You acknowledge that the Services and Content are protected by copyright, trademark, and other laws of the United States, Canada, and foreign countries. You agree not to remove, alter or obscure any copyright, trademark, service mark or other proprietary rights notices incorporated in or accompanying the Services or Content.

9. Rights in User Content Granted by You

You hereby grant to Nationwide Realty Corp. a non-exclusive, transferable, sublicensable, worldwide, perpetual, royalty-free license to (i) use, copy, modify (for formatting purposes only), publicly display, publicly perform and distribute your User Content in connection with operating and providing the Services to you or to other Users; and (ii) use, copy, modify (for formatting purposes only), publicly display, publicly perform and distribute (without attribution to you) any Content we obtain from your property manager.

You are solely responsible for all your User Content. You represent and warrant that you own all your User Content or you have all rights that are necessary to grant us the license rights in your User Content under these Terms. You also represent and warrant that neither your User Content, nor your use and provision of your User Content to be made available through the Services, nor any use of your User Content by Nationwide Realty Corp. on or through the Services will infringe, misappropriate or violate a third party’s intellectual property rights, or rights of publicity or privacy, or result in the violation of any applicable law or regulation.

You can remove your User Content, including a Listing, by specifically deleting it, via the functionality of the Services. However, in certain instances, some of your User Content may not be completely removed and copies of your User Content may continue to exist on the Nationwide Realty Corp. Services. We are not responsible or liable for the removal or deletion of (or the failure to remove or delete) any of your User Content. Moreover, we may continue to use any User Content as set forth above.

Third-Party Content

We may display Content that is owned by a third party ("Third-Party Content"). For example, we may display lending interest rates that are offered by a third party; even if Nationwide Realty Corp. displays lending rates via the Services, Nationwide Realty Corp. is not a money lender and does not accept, review or process applications for loans. Nationwide Realty Corp. does not claim any ownership rights in the Third-Party Content. We provide the Third-Party Content only as a convenience and you shall not publish or distribute any of the Third-Party Content. Our provision of the Third-Party Content does not mean that we have endorsed the third parties or the Third-Party Content that they have provided. Your use of the Third-Party Content is at your own risk and Nationwide Realty Corp. disclaims all liability relating to your interaction with the Third-Party Content or the applicable third parties. Nationwide Realty Corp. may share personally identifiable information you provide to us via the Services and financial and other information we have about you with third-parties so that the third parties may personalize the Third-Party Content that they provide to you. We will comply with applicable legal requirements, including requirements to obtain your consent before we share such information with third parties, in connection with how we share this information.

10. User Communications

You expressly consent to be contacted by FastTrcked, our agents, representatives, affiliates, or anyone calling on our behalf for any and all purposes, at any telephone number, or physical or electronic address you provide or at which you may be reached. You agree we may contact you in any way, including SMS messages (including text messages), calls using pre-recorded messages or artificial voice, and calls and messages delivered using auto telephone dialing system or an automatic texting system. Automated messages may be played when the telephone is answered, whether by you or someone else. In the event that an agent or representative calls, he or she may also leave a message on your answering machine, voice mail, or send one via text.

You consent to receive SMS messages (including text messages), calls and messages (including prerecorded and artificial voice and autodialed) from us, our agents, representatives, affiliates or anyone calling on our behalf at the specific number(s) you have provided to us, or numbers we can reasonably associate with your account (through skip trace, caller ID capture or other means). You certify, warrant and represent that the telephone numbers that you have provided to us are your numbers and not someone else’s. You represent that you are permitted to receive calls at each of the telephone numbers you have provided to us. You agree to alert us whenever you stop using a particular telephone number.

12. General Prohibitions

You agree not to do any of the following:

• Post, upload, publish, submit, or transmit any User Content that: (i) infringes, misappropriates or violates a third party’s patent, copyright, trademark, trade secret, moral rights or other intellectual property rights, or rights of publicity or privacy; (ii) violates, or encourages any conduct that would violate, any applicable law or regulation or would give rise to civil liability; (iii) is fraudulent, false, misleading or deceptive; (iv) is defamatory, obscene, pornographic, vulgar or offensive; (v) promotes discrimination, bigotry, racism, hatred, harassment or harm against any individual or group; (vi) is violent or threatening or promotes violence or actions that are threatening to any person or entity; or (vii) promotes illegal or harmful activities or substances;
• Use, display, mirror or frame the Services or any individual element within the Services, Nationwide Realty Corp.’s name, any Nationwide Realty Corp. trademark, logo or other proprietary information, or the layout and design of any page or form contained on a page, without Nationwide Realty Corp.’s express written consent;
• Access, tamper with, or use non-public areas of the Services, Nationwide Realty Corp.’s computer systems, or the technical delivery systems of Nationwide Realty Corp.’s providers;
• Attempt to probe, scan, or test the vulnerability of any Nationwide Realty Corp. system or network or breach any security or authentication measures;
• Avoid, bypass, remove, deactivate, impair, descramble, or otherwise circumvent any technological measure implemented by Nationwide Realty Corp. or any of Nationwide Realty Corp.’s providers or any other third party including another user to protect the Services or Content;
• Attempt to access or search the Services or Content or download Content from the Services through the use of any engine, software, tool, agent, device or mechanism including spiders, robots, crawlers, data mining tools or the like other than the software and/or search agents provided by Nationwide Realty Corp. or other generally available third-party web browsers;
• Send any unsolicited or unauthorized advertising, promotional materials, email, junk mail, spam, chain letters or other form of solicitation;
• Use any meta tags or other hidden text or metadata utilizing a Nationwide Realty Corp. trademark, logo URL or product name without Nationwide Realty Corp.’s express written consent;
• Forge any TCP/IP packet header or any part of the header information in any email or newsgroup posting, or in any way use the Services or Content to send altered, deceptive or false source-identifying information;
• Attempt to decipher, decompile, disassemble or reverse engineer any of the software used to provide the Services or Content;
• Copy, modify or create derivative works based on the Content and Services, other than your own User Content;
• Interfere with, or attempt to interfere with, the access of any user, host or network, including, without limitation, sending a virus, overloading, flooding, spamming, or mail-bombing the Services;
• Collect or store any personally identifiable information from the Services from other Users of the Services without their express permission;
• Impersonate or misrepresent your affiliation with any person or entity;
• Violate any applicable law or regulation;
• Publish or distribute any Content or Third Party Content without the prior written consent of Nationwide Realty Corp. or Encourage or enable any other individual to do any of the foregoing.

Although we’re not obligated to monitor access to or use of the Services or Content or to review or edit any Content, we have the right to do so for the purpose of operating the Services to ensure compliance with these Terms; and to comply with applicable law or other legal requirements. We reserve the right, but are not obligated, to remove or disable access to any Content, including User Content, at any time and without notice, including, but not limited to, if we, at our sole discretion, consider any Content to be objectionable or in violation of these Terms. We have the right to investigate violations of these Terms or conduct that affects the Services. We may also consult and cooperate with law enforcement authorities to prosecute users who violate the law.

13. Notice and Notice Regime/DMCA/Copyright Policy

Notifications

Nationwide Realty Corp. respects copyright law and expects its Users to do the same. It is Nationwide Realty Corp.’s policy to terminate access in appropriate circumstances to Users who repeatedly infringe or are believed to be repeatedly infringing the rights of copyright holders. It is Nationwide Realty Corp.’s policy to handle copyright infringement claims by Users and third parties in accordance with The Notice and Notice regime and/or Digital Millennium Copyright Act ("DMCA").

If you believe that any material available on or through the Site infringes upon any copyright you own or control, please immediately notify us using the contact information provided below (a “Notification”).

A copy of your Notification will be sent to the person who posted or stored the material addressed in the Notification. Please be advised that, pursuant to law, you may be held liable for damages if you make material misrepresentations in a Notification.

All Notifications should meet the requirements of the Notice and Notice Regime and include the following information:

• The claimant’s name and address
• The copyright material that is alleged to have been infringed and the claimant’s interest or right with respect to that material
• The location data (e.g., the web address [URL] or Internet address associated with the alleged infringement)

The Services and App may contain links to third-party websites or resources, including Third-Party Content as described above. We provide these links as a convenience and are not responsible for the content, products or services on or available from those websites or resources or links displayed on such websites. You acknowledge sole responsibility for and assume all risk arising from your use of any third-party websites or resources.

15. Subscription Terms and Automatic Payment

A Nationwide Realty Corp. due to Nationwide Realty Corp. in connection with their monthly subscription in accordance with these Terms. The first fee payable in accordance with these Terms is due when the user account is set up and payment of the monthly fee is a condition of access. Every calendar month, your account will be charged up to the subscription fee plus applicable tax for the following month’s subscription, together with any other fees for the following month’s subscription plus any accumulated charges for the past period (collectively, “Fees”). Failure by the Nationwide Realty Corp. user to use any of the services available through the service provided by Nationwide Realty Corp. does not relieve the Nationwide Realty Corp. user of their payment obligations under these Terms.

Potential users can pay by credit card. Payment details shall be collected by us through our secure financial data collection mechanism. You acknowledge and agree that we hold data relating to the transaction, including the last four digits and the expiration date of the card used to purchase the products or services together with details on when payment is due. You further acknowledge and agree that payments are due on a recurring basis in accordance with the payment terms for the specific service purchased (unless the subscription is cancelled in accordance with these Terms) and therefore authorize the automatic payment collection terms applicable to that specific service (e.g., on a monthly basis and for a specific amount). If for whatever reason, we are unable to process your monthly subscription payment, we may, in our sole discretion, charge you a lesser amount to “pause” your account and retain your information as we attempt to contact you for updated payment information.

IF YOU ARE A NATIONWIDE REALTY CORP. USER WITH A MONTHLY OR ANNUAL SUBSCRIPTION AND YOU HAVE PROVIDED US WITH A VALID CREDIT CARD NUMBER OR AN ALTERNATE PAYMENT METHOD, EACH PAYMENT WILL BE AUTOMATICALLY PROCESSED AT THE TIME OF YOUR DESIGNATED PAYMENT DATE (MONTHLY OR ANNUALLY) AND WILL BE BILLED TO THE PAYMENT METHOD YOU PROVIDED TO US AT THE TIME OF YOUR ENROLLMENT. AS NOTED ABOVE, IF WE DO NOT RECEIVE SUFFICIENT FUNDS, WE MAY CHARGE YOU A LESSER AMOUNT TO PAUSE YOUR ACCOUNT. IF YOU WISH TO CANCEL YOUR SUBSCRIPTION TO NATIONWIDE REALTY CORP., YOU MAY DO SO THROUGH YOUR ACCOUNT SETTINGS OR BY EMAILING SUPPORT@NATIONWIDE REALTY CORP..IO AT LEAST TEN (14) DAYS BEFORE THE FIRST DAY OF YOUR NEXT SUBSCRIPTION MONTH.

Nationwide Realty Corp. reserves the right to immediately terminate a user’s account and/or service for any unpaid (in whole or part) period of the subscription (with or without notice). Termination of service in no way relieves or excuses the user from any obligation to pay outstanding charges or expenses. In the event Nationwide Realty Corp. starts collection processes of any type, you will be liable for all collection costs, including legal fees and expenses.

In addition to any Fees, Nationwide Realty Corp. may also charge applicable value added or other tax.

16. Products, Services, and Prices

Products, services, and prices are generally posted at the following URL, but are subject to change: https://www.Nationwide Realty Corp..io/pricing. At times, Nationwide Realty Corp. may also offer services, which will be described when offered but nonetheless governed by this Agreement. Nationwide Realty Corp. may also offer additional products and services through other sites to which it owns or controls; such sites are also governed by the terms herein. Nationwide Realty Corp. reserves the right, without notice, to discontinue products or services or modify specifications and prices on products and services without incurring any obligation to you. Except as otherwise expressly provided for in these Terms, any price changes to your subscription or purchase of product(s) or services will take effect following email notice to you.

Price changes are effective on the first day of the month after the price change is posted. By accessing, using, subscribing or placing an order over the Website, you authorize Nationwide Realty Corp. to charge your account in the amount indicated for the value of the services you select, including any future price changes. By your continued use of Nationwide Realty Corp. services, and unless you terminate your subscription as provided herein, you agree that Nationwide Realty Corp. may charge your credit card monthly for the products and services you have selected, and you consent to any price changes for such services after email notice has been provided to you.

Nationwide Realty Corp. takes reasonable steps in an effort to ensure that the prices set forth on the Website are correct, and to accurately describe and display the items available on the Website. If the correct price of our product is higher than its stated price, we will, at our discretion, either contact you for instructions or cancel your order and notify you of such cancellation.

When ordering products or services, please note that Nationwide Realty Corp. does not warrant that product or service descriptions are accurate, complete, current, or error-free, or that packaging will match the actual product that you receive. All sales are deemed final except as provided in Section 6 of these Terms. Nationwide Realty Corp.’ descriptions of, or references to, products or services not owned by Nationwide Realty Corp. are not intended to imply endorsement of that product or service, or constitute a warranty by Nationwide Realty Corp..

17. Refunds

All subscription purchases are non-refundable; provided that if Nationwide Realty Corp. terminates any Subscription or this Agreement for convenience, Nationwide Realty Corp. will refund a pro-rata portion of any prepaid amount to User for the remaining portion of the prepaid term. Nationwide Realty Corp. may, in its sole discretion, change the price to be paid for any Services with 30 days advance notice by email.

18. Termination

We may terminate your access to and use of the Services for any reason or no reason, in our sole discretion, at any time and without prior notice to you. You may also cancel your Account at any time by sending an email to us at support@Nationwide Realty Corp..io. Upon any termination, discontinuation, or cancellation of Services or your Account, the following provisions will survive, Contract with Buyers, Contract with Real Estate Agents, Warranty Disclaimers, Indemnity, Limitations of Liability, and Dispute Resolution Provisions, and any other provisions which by their sense and context are intended to survive.

19. Warranty Disclaimers

THE SITE AND SERVICES, INCLUDING THE CONTENT, LISTINGS AND ANY USER CONTENT, ARE PROVIDED "AS IS," WITHOUT WARRANTY OF ANY KIND. WITHOUT LIMITING THE FOREGOING, WE EXPLICITLY DISCLAIM ANY WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, QUIET ENJOYMENT OR NON-INFRINGEMENT, AND ANY WARRANTIES ARISING OUT OF COURSE OF DEALING OR USAGE OF TRADE. WE MAKE NO WARRANTY THAT THE SERVICES WILL MEET YOUR REQUIREMENTS OR BE AVAILABLE ON AN UNINTERRUPTED, SECURE, OR ERROR-FREE BASIS OR REGARDING THE QUALITY, ACCURACY, TIMELINESS, TRUTHFULNESS, COMPLETENESS OR RELIABILITY OF ANY CONTENT OR LISTINGS.

WE MAKE NO WARRANTY AS TO THE QUALITY OR ACCURACY OF THE LISTINGS OR SERVICES OR THE QUALITY OF THE PROPERTIES, AND IDENTITY, CHARACTER OR CONDUCT OF BUYERS AND REAL ESTATE AGENTS AND ASSUME NO RESPONSIBILITY FOR A BUYER’S OR REAL ESTATE AGENTS’S COMPLIANCE WITH ANY APPLICABLE LAWS AND REGULATIONS. YOU AGREE TO TAKE REASONABLE PRECAUTIONS IN ALL COMMUNICATIONS AND INTERACTIONS WITH USERS WITH WHOM YOU COMMUNICATE OR INTERACT, AS A RESULT OF YOUR USE OF THE SERVICES - PARTICULARLY IF YOU DECIDE TO MEET OFFLINE OR IN PERSON. NATIONWIDE REALTY CORP. EXPLICITLY DISCLAIMS ALL LIABILITY FOR ANY ACT OR OMISSION OF ANY BUYER, REAL ESTATE AGENT, OR OTHER THIRD PARTY.

20. Privacy Policy

Nationwide Realty Corp. will collect, use, store, and disclose personal information in accordance with our Privacy Policy. Please consult the Privacy Policy for more information, which is incorporated into, and made a part of, these Terms of Use.

21. Feedback

We welcome feedback, comments, questions, suggestions, improvements, concerns and the like regarding the Services (collectively, "Feedback"). You may deliver Feedback to us by email, including through support@Nationwide Realty Corp..io, phone calls, interviews, texts, chat, surveys, or other communication tools or systems currently used or used in the future. You agree that you exclusively own any Feedback and grant to us a non-exclusive, worldwide, perpetual, irrevocable, fully-paid, royalty-free, sub licensable and transferable license under any and all intellectual property rights that you own or control to use, copy, modify, create derivative works based upon and otherwise exploit the Feedback for any purpose.

22. Indemnification

You will indemnify, defend and hold harmless Nationwide Realty Corp., its affiliates and their respective officers, directors, employees and agents, from and against any and all claims, disputes, demands, liabilities, damages, losses, and costs and expenses, including, without limitation, reasonable legal and accounting fees arising out of or in any way connected with (i) your access to or use of the Services (ii) your User Content; your violation of these Terms; (iv) your non-compliance with applicable law in connection with your posting of Listings and sale of Properties if you are a Real Estate Agent, or your purchase of Properties if you are a Buyer; or (v) the acts or omissions of your third party property manager, real estate broker, agent, lender, or title or escrow company.

23. Limitation of Liability

YOU ACKNOWLEDGE AND AGREE THAT, TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE ENTIRE RISK ARISING OUT OF YOUR USE OF THE SERVICES, AND ANY CONTACT YOU HAVE WITH BUYERS, IF YOU ARE A REAL ESTATE AGENT, OR ANY CONTACT YOU HAVE WITH REAL ESTATE AGENTS IF YOU ARE A BUYER, WHETHER IN PERSON OR ONLINE, REMAINS WITH YOU.

NEITHER NATIONWIDE REALTY CORP. NOR ANY NATIONWIDE REALTY CORP. ENTITY OR ANY OTHER PARTY INVOLVED IN CREATING, PRODUCING, OR DELIVERING THE SERVICES WILL BE LIABLE FOR ANY INCIDENTAL, SPECIAL, EXEMPLARY, OR CONSEQUENTIAL DAMAGES, LOST PROFITS, LOSS OF DATA OR GOODWILL, SERVICE INTERRUPTION, COMPUTER DAMAGE OR SYSTEM FAILURE OR THE COST OF SUBSTITUTE SERVICES ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR FROM THE USE OF OR INABILITY TO USE THE SERVICES, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), PRODUCT LIABILITY OR ANY OTHER LEGAL THEORY, AND WHETHER OR NOT NATIONWIDE REALTY CORP. HAS BEEN INFORMED OF THE POSSIBILITY OF SUCH DAMAGE, EVEN IF A LIMITED REMEDY SET FORTH HEREIN IS FOUND TO HAVE FAILED OF ITS ESSENTIAL PURPOSE.

THE LAW OF SOME JURISDICTIONS DOES NOT ALLOW THE FOREGOING EXCLUSIONS OR LIMITATIONS OF LIABILITY, SO THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU, OR ARE HEREBY MODIFIED TO ADHERE TO THE LAW OF SUCH JURISDICTIONS.

THE EXCLUSIONS AND LIMITATIONS OF DAMAGES SET FORTH ABOVE ARE FUNDAMENTAL ELEMENTS OF THE BASIS OF THE BARGAIN BETWEEN NATIONWIDE REALTY CORP. AND YOU.

24. Class Waiver

YOU AND NATIONWIDE REALTY CORP. AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE ACTION. Unless both you and Nationwide Realty Corp. agree, no arbitrator or judge may consolidate more than one person’s claims or otherwise preside over any form of a representative or class proceeding.

25. Dispute Resolution; Agreement to Arbitrate

Binding Arbitration

Any dispute, controversy or claim arising out of or relating to this Terms of Use, or in respect of any legal relationship associated with or derived from this Terms of Use, including without limitation the formation, interpretation, breach or termination thereof, including whether the claims asserted are arbitrable, will be referred to and finally determined by arbitration administered by ICDR Canada in accordance with its Canadian Arbitration Rules. The number of arbitrators shall be one. The place of the arbitration shall be Vancouver, British Columbia, Canada. The language of the arbitration shall be English. Judgment upon the award rendered by the arbitrator may be entered by any court having jurisdiction thereof. This Agreement shall be governed by the laws of the Province Of British Columbia and the federal laws of Canada applicable in that Province. Nothing in this paragraph will preclude the parties from seeking provisional remedies in aid of arbitration from a court of appropriate jurisdiction. Either party may commence arbitration by providing to ICDR Canada and the other party to the dispute a written demand for arbitration, setting forth the subject of the dispute and the relief requested (“Arbitration Demand”).

Fees

Each party will advance one-half of the fees and expenses of the arbitrator, the costs of the attendance of the arbitration reporter at the arbitration hearing, and the costs of the arbitration facility. In any arbitration arising out of or related to this Agreement, the arbitrator will award to the prevailing party, if any, the costs and legal fees reasonably incurred by the prevailing party in connection with those aspects of its claims or defenses on which it prevails, and any opposing awards of costs and legal fees awards will be offset.

Confidentiality

The parties will maintain the confidential nature of the arbitration proceeding, the hearing and the Award, except as may be necessary to prepare for or conduct the arbitration hearing on the merits, or except as may be necessary in connection with a court application as contemplated above for a preliminary remedy, or confirmation of an Award or its enforcement, or unless otherwise required by applicable Laws. The parties, witnesses, and arbitrator will treat as confidential and will not disclose to any third person (other than witnesses or experts) any documentary or other evidence produced in any arbitration hereunder, except as required by Law or except if such evidence was obtained from the public domain or was otherwise obtained independently from the arbitration.

26. Governing Law

The Site can be accessed from all provinces and territories of Canada, as well as from other countries around the world. As each of these jurisdictions has laws that may differ from those of the Province of British Columbia, by accessing the Site or Services, you agree that all matters relating to access to, or use of, the Site or Services, or any other hyperlinked website shall be governed by the laws of the Province of British Columbia and the federal laws of Canada as applicable and notwithstanding conflicts of law. You also agree and hereby submit to the exclusive jurisdiction and venue of the courts of the Province of British Columbia and acknowledge and do so voluntarily.

27. General Terms

These Terms constitute the entire and exclusive understanding and agreement between Nationwide Realty Corp. and you regarding the Site and Services, and these Terms supersede and replace any and all prior oral or written understandings or agreements between Nationwide Realty Corp. and you regarding the Services. If any provision of these Terms is held invalid or unenforceable (either by an arbitrator appointed pursuant to the terms of the "Arbitration" section above or by court of competent jurisdiction, but only if you timely opt out of arbitration by sending us an Arbitration Opt-out Notice in accordance with the terms set forth above), that provision will be enforced to the maximum extent permissible and the other provisions of these Terms will remain in full force and effect. You may not assign or transfer these Terms, by operation of law or otherwise, without Nationwide Realty Corp.’s prior written consent. Any attempt by you to assign or transfer these Terms, without such consent, will be null and void. Nationwide Realty Corp. may freely assign or transfer these Terms without restriction. Subject to the foregoing, these Terms will bind and inure to the benefit of the parties, their successors, and permitted assigns. Any notices or other communications provided by Nationwide Realty Corp. under these Terms, including those regarding modifications to these Terms, will be given: (i) via email; or (ii) by posting to the Services. For notices made by e-mail, the date of receipt will be deemed the date on which such notice is transmitted. Nationwide Realty Corp.’s failure to enforce any right or provision of these Terms will not be considered a waiver of such right or provision. The waiver of any such right or provision will be effective only if in writing and signed by a duly authorized representative of Nationwide Realty Corp.. Except as expressly set forth in these Terms, the exercise by either party of any of its remedies under these Terms will be without prejudice to its other remedies under these Terms or otherwise.

29. Data from Sources other than Nationwide Realty Corp.

Some of the information on the Site contains data and information that we have purchased, licensed or otherwise obtained from third parties (“Third Party Data”). With respect to such data and information, you hereby agree that:

• You are our customer and intend to use the Third Party Data for your own individual asset valuation or management.
• You shall not use the Third Party Data for reproduction, sale, distribution, publication, advertising or marketing, or any other use in relation to any product or service to be provided to any third party, or any other commercial exploitation.
• You shall not acquire any proprietary rights, including intellectual property rights, in or to the Third Party Data, which rights remain solely and exclusively in the supplier and you acknowledge that the Third Party Data are valuable commercial products, the development of which has involved the expenditure of substantial time and money.
• You acknowledge that some of the Third Party Data contains estimates of the value of real property and other information related to value based upon the application of valuation models to available data and do not constitute appraisals or broker price opinions of subject properties and may not be relied upon as such. The data relied upon is sourced from public records, or statistical calculations (“Sources”) and that the model results and other Third Party Data are provided on an “as is, as available” basis with all faults and defects. No warranty, express or implied, including without limitation, those of merchantability and fitness for a particular purpose with respect to the information obtained from such Sources has been made, nor is any supplier of Third Party Data responsible for errors, omissions, miscalculations, or misrepresentations of value with respect to the Third Party Data.
• Your use of the Third Party Data shall be at your own risk. In no event shall any supplier of Third Party Data be liable to you or any third party for any losses, costs or damages arising from or relating to the misuse of, or any errors, omissions, or miscalculations of value contained in, the Third Party Data.
• You shall not “scrape,” download or otherwise decompile Third Party Data.

Nationwide Realty Corp. is not responsible for the work performed or the services provided by Partner Agents in any manner.

APIs and SDKs

We may use third party APIs and software development kits ("SDKs") as part of the functionality of our Services. 4. International Transfer

We operate internationally, and many of our computer systems are currently based in Canada and in the United States. Such aggregated information may include what pages Users’ access or visit, when and how Users visit, and other information Users may volunteer. 7. Analysing Your Communications

We may review, scan, or analyze your communications for fraud prevention, risk assessment, regulatory compliance, investigation, product development, research, and customer support purposes. Occasionally we may need to manually review some communications, such as for fraud investigations, research & development, product improvement, and customer support, or to assess and improve the functionality of automated tools.

8. Data Correction, Account Deactivation, and Data Deletion

If a user needs to update, correct, or otherwise alter the personal information provided in the creation of the user’s account/profile, the user must do so by email, following instructions provided in the Contact Us section below. If at any time a user wishes to stop sharing information/data, the user may request that the user’s account be deactivated by email, following instructions provided in the Contact Us section below. Account deactivation will fully remove the user from the active user’s list, and the user’s information will no longer be available to any connected real estate agents or third party service providers. It may take up to seven (7) days to deactivate a user’s account. We reserve the right to delete user information.

9. Retaining Personal Information

If we use user personal information to make a decision that directly affects the customer or member we will retain that personal information for at least one year so that the customer or member has a reasonable opportunity to request access to it. We will retain customer or member personal information only as long as necessary to fulfill the identified purposes or a legal or business purpose.

We may update this privacy policy periodically to reflect changes to our privacy practices. We encourage you to periodically review this page to ensure you are familiar with those changes. We will indicate at the top of this privacy policy when it was most recently updated.If we are required by law to obtain your express consent for any changes to the Privacy Policy, then we will make a commercially reasonable attempt to obtain your consent before implementing such revisions.
